Hasbro Combines TV, Film and Short-Form Content Under Hasbro Studios President Stephen Davis

Hasbro Combines TV, Film and Short-Form Content Under Hasbro Studios President Stephen Davis

LOS ANGELES, CA, December 11, 2012-- Hasbro, Inc. (NASDAQ: HAS) announced the integration of all of its content initiatives, including television, film, commercial productions and short-form content, under Stephen Davis, president of Los Angeles-based Hasbro Studios.

Davis, who has overseen global TV development, production and distribution for Hasbro since launching the studio in 2009, will report to Hasbro Chief Marketing Officer John Frascotti to ensure the seamless integration between the entertainment and global marketing teams. Hasbro Studios produces a number of top-rated, award-winning multi-platform shows that are seen in more than 170 countries globally and here in the U.S. on The Hub, a television network for kids and their families that is a joint venture between Hasbro and Discovery Communications (NASDAQ: DISCA, DISCB, DISCK).

In addition to television, Davis will now lead Hasbro’s Film Group in Los Angeles and the company’s Rhode Island-based studio responsible for producing the company’s commercials and short-form content. Bennett Schneir, SVP Motion Pictures, and Terry Scott, SVP of Cake Mix Studio in Rhode Island, will now report to Davis.

“We are bringing together several of our entertainment groups so that we can fully drive our content development capabilities across our global franchises,” Frascotti said. “Stephen is the perfect choice to lead this important new initiative. In just three years, he has made significant contributions to strengthening the company’s global brands by propelling Hasbro Studios into one of the world’s most successful producers of animation and live-action programming.”

Under Davis’ guidance, Hasbro Studios has produced approximately 750 half-hours of programming, with numerous global successes including Transformers Prime, Littlest Pet Shop and My Little Pony: Friendship is Magic.

In his expanded role, Davis will drive the entertainment brand-driven storytelling for the company and oversee a strong multi-year feature slate including Transformers 4 with Paramount, Stretch Armstrong with Relativity Media and Candy Land with Sony.

“We are in the early stages of unlocking the full power of Hasbro brands globally and this new group will capitalize on our talent and creativity on both coasts,” Davis said. “We are now in a tremendous position to expand our content and storytelling more impactfully across all screens around the world.”

Davis has had a significant track record in TV and film production, story development and distribution. Previously he led ITV Studios America-predecessors Granada America and Carlton America; mobile and online digital media company InfoSpace; TV production-distribution company Hamdon Entertainment, a joint venture between Carlton and Studio Hamburg (NDR); and has overseen TV programming, motion picture, live entertainment, new media and entertainment-related M&A activities for entertainer and entrepreneur Merv Griffin’s company, The Griffin Group. He joined Hasbro from Family Entertainment Group, where he was CEO.

Hasbro Denies Rumor that they are in Negotiations with Disney

The rumor mill was sent into overdrive earlier this week when MTV Geek reported a rumor that Disney was looking into purchasing Hasbro. This coming shortly after Disney shocked the entertainment world with their 4.05 billion dollar acquisition of Lucasfilm. This prompted CNBC's David Faber to contact Hasbro for confirmation or denial. According to Hasbro's advisors there is nothing going on between Hasbro and Disney. See below:

Source: Providence Journal

Providence Journal wrote:Stock in the Pawtucket-based toymaker (HAS:Nasdaq) spiked 6.8 percent to $38.66 at the opening bell amid speculation that Disney (DIS:NYSE) was preparing a multi-billion dollar bid for Hasbro.

Hasbro declined comment, citing its policy of not talking about rumor or speculation. CNBC analyst David Faber reported that Hasbro's advisors told him there's "absolutely nothing going on that they are aware of at all, in any way, shape or form" involving Hasbro or Disney.
Wall Street analysts said a Disney acquisition didn't make much sense, just after Disney agreed to buy Lucasfilm Ltd. for $4.05 billion. And for any deal to happen, Hasbro would have to dissolve agreements with Disney's competitors.

As all of you are probably aware by now Disney made big news last week when they announced they had purchased Lucasfilm for over 4 billion dollars. It looks like Mickey and company haven't put away the old checkbook just yet. MTV Geek is reporting a rumor that Disney is now in negotiations to purchase Hasbro! It's just a rumor for now, but according to MTV Geek a reliable source has stated high level discussions are happening at this moment. Click here to visit MTV Geek for the full story.

Is Opti-mouse Prime in our future?

MTV Geek wrote:Well, we have it on good authority that serious discussions are happening at the highest levels of both Disney and Hasbro to fold the largest toy and game company on the planet into the Mouse.

MTV Geek wrote:The acquisition would give Disney the rights to Transformers, G.I. Joe, Dungeons and Dragons, Beyblade, Battleship, Nerf, and Magic: The Gathering among several dozen other game titles and IP. When you add Marvel and Star Wars to that list it’s a pretty comprehensive lock on boy’s entertainment; a far cry from a few years back when Disney was heavily criticized for losing its grip on boys.

The ramifications to the Transformers hobby could potentially be extremely significant. Everything from the upcoming 2014 Transformers movie to BotCon locations to potential exclusives being available at Disney stores could be affected by this decision. Tell us what you think by clicking here.

Hasbro has posted the contents of the UBS Best of Americas 2012 Conference that was held a couple of days ago, and there were a few interesting tidbits regarding our favorite transforming alien robots.

  • Transformers 4 is scheduled for a 2014 release
  • Transformers 4 will feature a new cast, including new robots, they feel the lower than expected toy sales for Transformers DOTM were due to the recurring cast of robots in the previous trilogy. They hope new Transformers characters will reignite toys sales.
  • Plans to expand the marketing for Transformers Prime and Transformers: Rescue Bots

Hasbro has applied for a rather interesting new trademark, Beast Hunters! They've applied in two categories, entertainment services and action figures.

BEAST HUNTERS: entertainment services, namely, an on-oing animated television series for children

BEAST HUNTERS: toy action figures, toy vehicles and toy robots convertible into other visual toy forms

You may recall Beast Hunters was the original working name for Beast Machines.

From the "Fox Kids Fall Press Release" from alt.toys.transformers on February 10, 1999:

BEAST HUNTERS, the next evolution of the popular Beast Wars
franchise, continue their fight against the evil dragon Megatron and his
hordes of Predacons in 13 all-new episodes with cutting edge computer
animation, action, adventure and humor, produced by Mainframe
Entertainment.

The return of the Beast era? Speculate away!

Update: Thanks to Neo-Bombshell we have a little clarification regarding the recently Beast Hunters trademark applications. This relates to season three of Transformers Prime rather than a new series.

Neo-Bombshell wrote:Hello guys, as you may know I am a very old member of this forums and member of Transformers Peru community.

I was about to post this 2 days ago but I was so busy that I got some time today and the recent news about Beast Hunters made me hurry about sharing these info.

First, of all you may be free to believe it or not. As I told you I am an old member of these forums and I have no reason to try to invent something.

Last week a good friend of mine works for an important publisher company here in Peru and he is usually invited to product presentations and of course it was Hasbro's representatives in Peru who took an afternoon to show a very interesting presentation.

He got the presentation and he was so kind to share it to me.

It is the very last picture that got my interest ad what the main expositor said: "This is the new THIRD SEASON OF TRANSFORMERS PRIME"

BARRICADE
Hey punks! I’m BARRICADE, and if you know what’s good for you, you’ll shut yer traps and listen up. I’m the baddest there is anywhere, and I ain’t afraid to pound a few suckers to prove it. You follow my orders, secure a little bit of ENERGON for me, and we’ll get along just fine.

Hobby:
Knocking over smaller KREONS.

Likes:
Laughing at the pain of others.

Secret desire:
To be taller.

CLIFFJUMPER
Yeah, yeah, yeah. I've heard it before. "You look just like BUMBLEBEE!" I know! But does that tin-plated punk pack a punch like me? I don't think so. If those DECEPTICON blockheads think they're getting any ENERGON on my watch, well, they are mistaken.

Likes:
Fighting.

Hobbies:
Fighting.

Occupation:
Fighting.

CONSTRUCTICON DEVASTATOR
RAAAAAAAR! Me CONSTRUCTICON DEVASTATOR! Me crush all AUTOBOTS! Me the strongest KREON there is! Me find all the ENERGON for MEGATRON! And then crush it! No. Wait. Me not supposed to smash ENERGON. Me usually crush everything, but ENERGON is not good for crushing.

Big Plan:

Crush ENERGON! No! Collect ENERGON. For MEGATRON.

Strength:

Off the charts. Smarts, not so much.

Hobbies:

Yelling. Crushing things. Baking pies for other KREONS.

IRONHIDE
Hey there whippersnapper! I'm IRONHIDE – so called because nothin' gets through my armor! You kids today love yer blasters and explosions and so forth. You don't appreciate a good set of laserproof plates. Well listen up! Ain't no DECEPTICON getting past me! This Energon is safe as houses when Ironhide is guarding it.

Best Friend:
I’ve been a bodyguard to OPTIMUS PRIME since he was just one brick high.

Earliest Memory:
Blasting DECEPTICONS! I remember it like it was yesterday. Wait. It might actually have been yesterday.

Favorite Weapon:
My trusty Omega Black Hole Cannon. There’s nothing like the classics!

KNOCK OUT
Well hello. I’m KNOCK OUT, and I build and install weapons for the DECEPTICONS. Nothing makes me happier than watching one of my blasters blow the bricks out of a KREON. Well, except experimenting on folks. Speaking of which, have you ever considered replacing that weak old arm of yours with an ion cannon?

Likes:
Things that make you go boom.

Favorite color:
Orange. Like fire and molten steel.

Best customer:
MEGATRON

VORTEX
Wooooo! Ha ha! Hands in the air everybody, and get ready for the ride of your life! I’m VORTEX, and if I can’t terrify you with a series of dangerous aerial stunts into telling me where I can find some ENERGON, I’m not doing my job.

Occupation:
Interrogator.

Favorite aerial stunt:
Triple loop.

Likes:
Dropping AUTOBOTS from a great height.

WHEELJACK
Ah! Welcome to my lab! Don’t touch anything! Everything in here is top secret, and probably explosive. My job is to help the AUTOBOTS track down ENERGON before the DECEPTICONS do, and while I usually focus my research on things that melt or detonate, ENERGON-tracking is interesting too. I guess.

Favorite Creation:
GRIMLOCK.

Favorite Tool:
Quantum Circuit Bender.

Best Friend:
AUTOBOT RATCHET repairs me whenever I blow parts off.

OPTIMUS PRIME
I am OPTIMUS PRIME. I do not care for the hijinks of the other KREON robots. It is our responsibility to ensure that all brick-made beings are able to live in freedom. I do not have time for pranks. All I have time for is tracking down Earth’s precious ENERGON before MEGATRON does.

Likes:
Sending BUMBLEBEE on missions so I can get some work done instead of worrying about whose bricks he'll rearrange next.

Big Plan:
To defeat the DECEPTICONS and retire somewhere an idling truck will be accepted.

Protoform Pet:
I once had a cyberdog named Magnus. He was great.

MEGATRON
I am MEGATRON, the commander of the DECEPTICONS. Most everyone thinks I'm a pretty bad guy. But I'd like to call myself a KREON robot of many talents. Yes, I happen to be the most diabolically evil commander in the universe, but I also have a soft spot for life's finer things. . . like crushing AUTOBOTS! and capturing every last bit of ENERGON!

Favorite Pastime:
Reading the "KREON KODE" on my builder's front porch swing.

Favorite Restaurant:
Those seafood places that give you a bucket of crabs and a mallet.

Biggest Fear:
Being lost in a vast, unorganized box of KRE-O bricks.

BUMBLEBEE
'Sup? I'm BUMBLEBEE, and I'm just about the coolest KREON character you'll ever meet. When I'm not punking the other AUTOBOTS, I like to spend my time cruising the freeway at top speed, hunting for the ultimate source of ENERGON.

Hobbies:
Pranking PROWL and speeding!

Favorite Hangout:
Anywhere there are lots of humans and loud music!

Big Plan:
To form a block-rockin' band. And also learn how to brick-surf.

SCORPONOK
I'm Scorponok, and I'm always one step ahead of the game. If you think you can outsmart me, you've got another thing coming – in the form of my toxic tail! I'm big, I'm bad, and if the Decepticons know what's good for ‘em, pretty soon I'll be in charge!

Rival: Galvatron

Big Plan: Take over the Decepticons. Conquer Earth.

Favorite Hangout: The biggest throne he can find.

SUNSTORM
I'm so hot, I'm on fire! No, really. I'm actually on fire. My fusion-fueled fury pulses out through my cyberalloy chassis and melts anyone who gets too close. Sure, I'm fast and powerful, but it gets lonely being so scorching.

Fondest wish: To get a hug from someone whose arms didn't immediately melt off.

Power source: Brick-powered fusion.

Big Plan: To learn how to chill.

SPINISTER
I am known as Spinister. I am dark, silent and dangerous. You are one of the few to hear of me and survive, so keep it on the down low, all right? I can't have a bunch of squishy humans blabbing my name and ruining my mysterious rep.

Hobby: Hiding fusion bombs in the Autobot restroom.

Dark Secret: Terrified of Galvatron.

Best Friend: His beam cannon.

GALVATRON
Nothing stands before Galvatron! I am supreme! I am totally awesome! I am the scariest thing ever to come out of the mouth of a weirdly pudgy planet monster! Look upon me and despair!

Hobby: Conquest

Likes: Disintegrating traitors.

Boss: UniKREON

CRANKSHAFT
What was that? Did you hear that? Someone's out to get me! I can't see ‘em, but I know they're there. A lot of the other Kreons call me paranoid. They think I'm off my brick. But you'd be paranoid too if you knew someone was out there hunting you.

Hobby: Hiding

Likes: Not being found

Enemies: Everyone, as far as he's concerned

WASPINATOR
WASPINATOR not like other brick-bots! WASPINATOR looooooves being taken apart! Oh yes! There is nothing WASPINATOR loves more than being just a head on a table! Please disassemble WASPINATOR!

Hobby: Getting blown up.

Favorite Hangout: In shadows, behind big rocks. Anywhere lasers can't hit him.

Preferred Status: Disassembled

Hasbro Reports Financial Results for the Second Quarter 2012

Second Quarter Results Consistent with Company Strategy to Shift U.S. Shipments Later in the Year

  • Net revenues of $811.5 million for the second quarter 2012 versus $908.5 million for the second quarter 2011; Second quarter net revenues declined 7% excluding a negative $34.4 million impact of foreign exchange;
  • Net earnings of $43.4 million, or $0.33 per diluted share, compared to net earnings of $46.0 million or $0.33 per diluted share in 2011 (excluding a favorable tax adjustment and costs associated with establishing Hasbro's Gaming Center of Excellence); Second quarter 2011 net earnings were $58.1 million, or $0.42 per diluted share as reported;
  • Operating profit at 10.6% of revenues versus 10.3% in 2011 (excluding the Gaming Center of Excellence costs) or 8.9% as reported a year ago;
  • Second quarter 2012 operating profit increased in the U.S. and Canada and Entertainment and Licensing segments.

PAWTUCKET, R.I.--(BUSINESS WIRE)-- Hasbro, Inc. (NASDAQ: HAS) today reported financial results for the second quarter 2012. Net revenues for the quarter were $811.5 million, a decrease of 11%, compared to $908.5 million in 2011. Second quarter 2012 net revenues declined 7% excluding a negative $34.4 million impact of foreign exchange. Net earnings for the second quarter 2012 were $43.4 million, or $0.33 per diluted share, versus $58.1 million, or $0.42 per diluted share, in 2011. Second quarter 2011 net earnings include a favorable tax adjustment of $20.5 million, or $0.15 per diluted share, and pre-tax expense of $13.1 million, or $0.06 per diluted share, related to costs associated with establishing Hasbro's Gaming Center of Excellence. Absent these items, second quarter 2011 net earnings were $46.0 million or $0.33 per share.

"2012 continues to develop in line with our expectations as we shift more of our shipments later in the year while improving profitability in the near term," said Brian Goldner, President and Chief Executive Officer. "In the U.S. and Canada, we have gained share and the teams are focused on returning to historical levels of operating profit as well as partnering with U.S. retailers to shift shipments closer to the peak consumer demand periods in the third and fourth quarters. Internationally, we continue our global expansion, leveraging investments in emerging markets, product innovation and entertainment to drive Hasbro brands globally. Finally, our television strategy is delivering growth within our Entertainment and Licensing segment and creating demand for our toys and games in global markets."

"As we enter the second half of the year, we have innovative brand initiatives across product categories and geographies," continued Goldner. "For the full year 2012, we continue to believe, absent the impact of foreign exchange, we will again grow revenues and earnings per share. As we have previously stated, we expect 2-4% more of our full-year revenues to occur in the second half of the year. Within this revenue shift, we also expect the fourth quarter to be greater than the third quarter in both revenues and earnings per share, similar to our historical international results."

"An important element of our full-year plan is returning the U.S. and Canada segment to historical levels of operating profit margin. In the second quarter, this segment's profitability, and Hasbro's overall profitability, improved through favorable product mix and higher quality inventory in the U.S. and Canada segment versus last year," said Deborah Thomas, Chief Financial Officer. "As we enter the second half of 2012, Hasbro is in a strong financial position with healthy cash flow and great initiatives for the holidays. A year ago, we made an investment in Games, establishing Hasbro's Gaming Center of Excellence. One year later we believe we are well positioned with innovative gaming products and strong marketing programs for the holiday season."

U.S. and Canada segment net revenues were $406.6 million, a decrease of 19%, compared to $505.0 million in 2011. The results reflect growth in the Preschool category offset by declines in the Boys, Girls and Games categories. The U.S. and Canada segment reported an operating profit of $60.9 million, up 6%, compared to $57.7 million in 2011.

Net revenues in the International segment grew 5% absent the negative $33.4 million impact of foreign exchange. Including the impact of foreign exchange, International segment net revenues were $360.5 million, down 4%, compared to $374.5 million in 2011. Revenue in the International segment reflects growth in Latin America offset by a decline in Europe and Asia Pacific. Additionally, the Preschool category contributed to growth, offset by declines in the Boys, Girls and Games categories. The International segment reported an operating profit of $29.9 million, compared to $33.8 million in 2011.

Entertainment and Licensing segment net revenues increased 59% to $43.2 million, compared to $27.2 million in 2011. The segment benefited from the sale of television content in all formats in the U.S. and internationally. The Entertainment and Licensing segment reported an operating profit of $8.2 million compared to $0.6 million in 2011.

Certain statements in this release contain "forward-looking statements" within the meaning of the Private Securities Litigation Reform Act of 1995. These statements include expectations concerning the Company's potential performance in 2012 and beyond, including with respect to its revenues and earnings per share, and the Company's ability to achieve its other financial and business goals and may be identified by the use of forward-looking words or phrases. The Company's actual actions or results may differ materially from those expected or anticipated in the forward-looking statements due to both known and unknown risks and uncertainties. Specific factors that might cause such a difference include, but are not limited to: (i) the Company's ability to design, manufacture, source and ship new and continuing products on a timely and cost-effective basis, as well as interest in and purchase of those products by retail customers and consumers in quantities and at prices that will be sufficient to profitably recover the Company's development, manufacturing, marketing, royalty and other costs; (ii) global economic conditions, including recessions, credit crises or other economic shocks or downturns affecting the United States, Europe or any of the Company's other markets which can negatively impact the retail and/or credit markets, the financial health of the Company's retail customers and consumers, and consumer and business confidence, and which can result in lower employment levels, less consumer disposable income, and lower consumer spending, including lower spending on purchases of the Company's products; (iii) other factors which can lower discretionary consumer spending, such as higher costs for fuel and food, drops in the value of homes or other consumer assets, and high levels of consumer debt; (iv) other economic and public health conditions in the markets in which the Company and its customers and suppliers operate which impact the Company's ability and cost to manufacture and deliver products, such as higher fuel and other commodity prices, higher labor costs, higher transportation costs, outbreaks of disease which affect public health and the movement of people and goods, and other factors, including government regulations, which can create potential manufacturing and transportation delays or impact costs; (v) currency fluctuations, including movements in foreign exchange rates, which can lower the Company's net revenues and earnings, and significantly impact the Company's costs; (vi) the concentration of the Company's customers, potentially increasing the negative impact to the Company of difficulties experienced by any of the Company's customers or changes by the Company's customers in their purchasing or selling patterns; (vii) greater than expected costs, or unexpected delays or difficulties, associated with THE HUB TV Network, the Company's joint venture television network with Discovery Communications, LLC, Hasbro Studios, or the creation of new content to appear on THE HUB TV Network and elsewhere; (viii) consumer interest in and acceptance of THE HUB TV Network, and programming created by Hasbro Studios, and other factors impacting the financial performance of the network and Hasbro Studios; (ix) greater than expected costs or unexpected delays or difficulties associated with the creation of Hasbro's Gaming Center of Excellence and the execution of the Company's strategy for driving innovation and immersive play experiences in its gaming business; (x) unexpected delays or difficulties in the Company's execution of its plans to drive growth and increased profitability in its U.S. and Canada business; (xi) the inventory policies of the Company's retail customers, including retailers' potential decisions to lower the inventories they are willing to carry, even if it results in lost sales, as well as the concentration of the Company's revenues in the second half and fourth quarter of the year, which coupled with reliance by retailers on quick response inventory management techniques increases the risk of underproduction of popular items, overproduction of less popular items and failure to achieve tight and compressed shipping schedules; (xii) delays, increased costs or difficulties associated with any of our planned entertainment initiatives; (xiii) work stoppages, slowdowns or strikes, which may impact the Company's ability to manufacture or deliver product in a timely and cost-effective manner; (xiv) the bankruptcy or other lack of success of one of the Company's significant retailers which could negatively impact the Company's revenues or bad debt exposure; (xv) the impact of competition on revenues, margins and other aspects of the Company's business, including the ability to secure, maintain and renew popular licenses and the ability to attract and retain talented employees in a competitive environment; (xvi) concentration of manufacturing for many of the Company's products in the People's Republic of China and the associated impact to the Company of public health conditions and other factors affecting social and economic activity in China, affecting the movement of products into and out of China, and impacting the cost of producing products in China and exporting them to other countries; (xvii) the risk of product recalls or product liability suits and costs associated with product safety regulations; (xviii) other market conditions, third party actions or approvals and the impact of competition which could reduce demand for the Company's products or delay or increase the cost of implementation of the Company's programs or alter the Company's actions and reduce actual results; (xix) the risk that anticipated benefits of acquisitions may not occur or be delayed or reduced in their realization; and (xx) other risks and uncertainties as may be detailed from time to time in the Company's public announcements and Securities and Exchange Commission ("SEC") filings. The Company undertakes no obligation to make any revisions to the forward-looking statements contained in this release or to update them to reflect events or circumstances occurring after the date of this release.

This press release includes a non-GAAP financial measure as defined under SEC rules, specifically EBITDA. EBITDA represents net earnings excluding interest expense, income taxes, depreciation and amortization. As required by SEC rules, we have provided reconciliation on the attached schedule of this measure to the most directly comparable GAAP measure. Management believes that EBITDA is one of the appropriate measures for evaluating the operating performance of the Company because it reflects the resources available for strategic opportunities including, among others, to invest in the business, strengthen the balance sheet, and make strategic acquisitions. However, this measure should be considered in addition to, not as a substitute for, or superior to, net earnings or other measures of financial performance prepared in accordance with GAAP as more fully discussed in the Company's financial statements and filings with the SEC. As used herein, "GAAP" refers to accounting principles generally accepted in the United States of America. This press release also includes the Company's Consolidated and International segment net revenues excluding the impact of changes in exchange rates. Management believes that the presentation of Consolidated and International segment net revenues minus the impact of exchange rate changes provides information that is helpful to an investor's understanding of the underlying business performance absent exchange rate fluctuations which are beyond the Company's control. Similarly, this presentation includes the Company's second quarter 2011 operating profit excluding certain expenses related to the reorganization of the Company's global games business as well as second quarter 2011 net earnings excluding certain discrete income tax benefits related to the settlement of a tax examination and certain expenses related to the reorganization of the Company's global games business. The Company provided the 2011 net earnings absent these amounts to assist investors in understanding the comparability of the Company's results.
