Yeah, these two look quite different in colour, especially on the head:

Scorponok is near impossible to tell which is which in the packaging as the colors are pretty similar.
I still have my Scorponok, but the Japanese one's tail broke.

It's a green sticker version. The green stickers are, for the most part, the "better" attempts which only applies to single packed versions of the toys. The only ones I'm aware of that this applies to are Cheetor, Dinobot, Rhinox (though both Takara versions are different from the Hasbro version and from each other), Tarantulas, Blackarachnia (both Takara versions are the same, but is different from Hasbro), and Scorponok. Not sure about Waspinator and Buzzsaw yet. To the best of my knowledge, Ultra Class Megatron and Optimus Primal are the same (with the exceptions of all of the different versions of Beast Convoy/Optimus Primal).

It's a nickname for what Hasbro's Transmetal Megatron suffers from: "Brown Plastic Syndrome". The way they are in this picture are incorrect. I'm not sure what the instructions say but you can very much pose them as they are in the show, sticking out of the side of the head like this:
EDIT: Looking at the full gallery there's even a picture of the box with it showing the right way to put them.

They do, we bought Armada Predacon
