Is it just leader Prime repainted for the fun of it? Does it have a significance from the movie? Just money making tool?

The feet Automorph wasn't activated. So the one in the pic doesnt have "toes".

If they did a G1 deco on it, more people will go buy it rather than the Nightwatch deco.

It is Hasbro wanting another repaint, but too afraid to call him Ultra Magnus, Nemesis Prime, or even Scourge.

Hasbro having mistransformed figures in their own galleries for display on their own website? No Way!!! :P

Night Vision Prime is a way for Hasbro to make money with another Prime figure on the shelves for those who missed him first time around, for completionists, or those who like the toy, but hated the superior original Paint scheme.

It's also a way for them to justify creating the toy mold in the first place, as it means that production costs for the mold are effectively cut in half when 2 versions of the toy are made in comparison to only 1.

But wait, I thought that it was Prime after he was "bathed in the energy of the Allspark". You mean that didn't actually happen in the film?

Me personally, I would have loved to see a chrome/metallic G1 repaint. And give me that damn sword to go on his arm too!

Even Hasbro hesitates to make another repaint to Ultra Magnus. They wouldn't be able to sleep at night ... hence, the name ... "Nightwatch Prime."

I think instead of this, they should have gone with an Armada Powerlinx Prime-style scheme. I think that's the only time so far where I've liked a repaint Prime better than the original.
