Jazz was ripped in half and in the comic and novels which are based on the original script Megatron ate is spark, yes he ate his spark.
Plus Ratchet's line at the end "We couldn't save him" and Prime's "Aww, Jazz" make it pretty clear that he's dead.

Because it's a movie with plot holes larger then the pores of the worlds greasiest shut in.
Besides, through the wonders of "movie magic" he could be brought back just as confusingly as he died. He'll he could even be a pretender for all any of us know. Worked in the 80's.

I thought a posted a reply here yesterday.
I remember typing it and clicking "Submit."
Now I'm wondering: where in the heck did I *actually* post my reply?
I'm sure I look like an idiot somewhere.
Anywayz...
Isn't Frenzy's spark in his head or something?
That meant that disconnecting his head from his body didn't sever his spark from his CPU/brain/head, which thus meant he was still online.
Jazz's spark, on the other hand, was below where he got ripped in half, thus severing the connection between his spark and his head/processors/CPU/whatever, thereby killing him.
Or maybe it's that whole Megatron=Cannibal thing.
Either or.

I've asked this same question on here before and about the best answer you will get is that his "spark" was housed in his head. Jazz's "spark" must have been housed in his torso somewhere.

This was the same conclusion that I came to. Jazz is just a regular bot, whereas Frenzy was an infiltration specialist or something.
Or perhaps Jazz just died because Ironhide decided to carry him around for to long instead of letting Ratchet fix him.

Jazz' top half: Dude... get me to Ratchet
IH: Sorry... gotta carry you around for a bit
JTH: Why?
IH: Dunno, just have to
JTH: Man, get me to Ratchet!
IH: Nope
JBH: <kick>
IH: Quit it!
JBH: <kick> <kick>
JTH: Dude, I'm dy... dy... dy... <fzzt><bzzt>
Prime: Awww... Jazz....

So Jazz's spark was in his groin? Smooth.

I think his brains (or would that be CPU?) must've been located somewhere else too, had he used it he wouldn't of died in such a lame fashion and so easily.

There is only one logical conclusion that explains Jazz's death. A wizard did it.
