So. Badass doctor who stared down and defeated Megatron TWICE in the comics (yes, once by accident and with the Dinobots' "help", and once by sacrificing himself) takes on...Perceptor. In the comics, he wasn't very much, just a marginal character, but in the cartoon he had a much prominent role. Neither has very powerful weapons, as Ratchet's stuff is mainly for fixing, and Perceptor just analyzes stuff, but they do know how to use guns and their fists. And I think Perceptor's ocular is a weapon in robot mode.

Of course, both being Autobots (passive goody-two shoes at that) this isn't a fight to the death. Just until one can't get up.

Ratchet, I think that he'll find a way to quickly disable Perceptor since he knows his internal structure.

Well, according to the Tech specs for both Robots, it looks like Ratchet would have been massacred in a straight fight!

Ratchet's strength was a poultry four, while Perceptor had a very respectable seven. As for fire power, again Perceptor had the advantage with eight, while Ratchet could only muster a pathetic three.

So in summary Perceptor would just simply whip Ratchet!

Ratchet. the guy has medical skills and knows where to inflict the most damage. Plus he was ballsy enough to take on all the decepticons at one point.

No matter what Perceptor tries to do to Ratchet, Ratchet's gonna grit his teeth, plow through and hand him an ass-whupping. This is a 'bot who stood against Megatron-twice, Shockwave and one-punched Starscream.

Pay your insurance, Percy. The Doctor's coming to town.

Although Ratchet is outclassed in the tech specs, he probably has many contingency plans like hidden weapons.

Both Autobots are excellent mechanics and engineers, so they could improvise weapons quickly. Also, both know anatomy and hence which weak spots to target on each other.

Perceptor is slower and more absent-minded. One might say he thinks too much. Ratchet is more go-ahead and practical. He has a reputation for very quick treatment of patients. This might allow him to beat Perceptor in a fight. However, Perceptor could just blast Ratchet before he has a chance to try anything.

In a quick fight, Perceptor wins. In a slower battle, Ratchet might scramble to victory. Macguyver!
