Okay it's a battle of the robotic T-Rexs!!! Who will win???

Assuming they have the same size (which BW Megs normally lacks due to the down-sizing):
Comic Grimlock would wipe the floor up with any BW Megs - Megatron wasn't a great fighter, but he was a good planner... well, better in long-term plans than G1 Megatron was anyway
cartoon Grimlock would be a better match, but still Grimlock has the upper hand - Megatrons "Fusion tail" did fairly light damage normally, and the one time he used it on full power (blasting Optimus Primes face) it took a loooong time to charge and the opponent was unable to move.

Also, Megatron has a vulnerable flesh-like "skin", that is easier to damage than Grimlocks thicker-than-standard hide.

All that, and I would like to add that the only way BW Megatron has a chance against cartoon Grimlock is if he stays away from him long enough to do serious damage. Grimlock was strong, but he wasn't very smart. With a good strategy, Megatron could either take shots at him over a long period of time, or manage to get him trapped somehow and then finish him off.

But comics Grimlock, (especially Furman's incarnations) are untouchable by Megatron, and almost any other Transformer.

Dino Megs would go back in time and make Grimlock into a Pred, killing the Autobots and winning the beast Wars. No contest.

Classic G1 Grimlock would simply headbutt BW Megs into oblivion
Then he'd go trounce the rest of the Preds
