Well Brock got defeated by Carnage, and Black Arachnia is way way more powerful than Carnage. so I'd say Black Arachnia wins,without help of her flying dog wanna be fuzor.

Why? BA doesn't know the symbiote's weakness. But Venom would just assume ripping her apart would work, which it would.
Not to mention Venom has the whole camouflage thing going for him, so he would catch her off-guard at least once with that.
As for the second fight, BA would win. As the Scorpion Venom, isn't really Venom.
