Torca can win if he uses his paralyser ray and then smashes Cryotek. Otherwise, Cryotek will probably win because his tech specs are a bit higher and also he can fly in dragon mode.
I'm going to say that Torca wins since he wouldn't let his guard down. Cryotek will be torn up, literally.
