Deadpool has beaten the Hulk, Wolverine, Agent X, Gambit, Bullseye.
He can regrow body parts, is damned good with any weapon.

Deadpool wins, hands down. Not to mention, Death's Head would probably go insane from his constant ramblings.

Here's how the Merc with the Mouth will win. First he'll blow up DH's ship with him inside it. If DH survives, 'pool hits him with a anvil. If he still survives then 'pool will use a rocket lancher to finsh him off.
