interesting fight, but id vote spider-man hands down. none of the early beast wars characters had strength levels too far above a human. they had trouble lifting boulders, each other and other things dont really have extreme weights. and as far as strength goes, blackarachnia is probably the weakest of the pre transmetal transformers.
so that would make spider-man considerably stronger, faster, more agile, better reflexes and with precog abilities in combat. blackarachnia is a skilled fighter, but not phenomenally so. spider-man just has all the stats in his favour, as well as a few extra abilities on top of it.
