Against Megatron's various incarnations BW.

BW Megatron: Magmatron
TM Megatron: Megatron
TM2 Megatron: Megatron for sure
I see Magmatron as only just stronger than normal BW Megatron, similar to say Daniel Craig against George Clooney. Craig will probably win, but they're still about the same in power on a relative scale.
Megs going transmetal seemed to push him into a different notch of power just above Magmatron. Megs seemed to be able to toss anyone around who wasn't a transmetal or fuzor. TM2 puts him in league with a strong G1 bot like Ironhide or Shockwave IMO. Completely outclassing almost all of the other BW characters.

TM2 Megs wins without a doubt and regular Megs loses without a doubt.
The real question is TM Megs vs. Magmatron.
If TM Megs has time to prepare and research, then he would win, but if Magmatron just showed up out of nowhere and startled pummeling TM Megs, then Magmatron would win.

they did that on the comics and megs was able to swath away magmatron easily (though how megatron had enough space to swish his tail gun with enough force to swath away magmatron who was CHOKING him with one hand and dangling an energon knife with the other is beyond me)
magmatron could go the beast vs beast route and overwhelm megs like he did with grimlock

I think with Dinobot's sparkloosing performance agains a TM Megs and Grimlocks full charged performance with Magmatron,
This fight should be closer than the others.
Magmatron has a T-rex much like Megs organic one and with terrorsaur and laporas
as support I think it would be a tough win for the newly metaled rex.
Magmatron is the BW emporeer of destruction ie the equivalent to Megs if not Galvatron. Boasting three beasts to BW Megs organic one I find it hard to think TM Megs could face his organic self in beastmode aided by Terrorsuar also in beast mode, let alone a pokemon.
Magmatron should win in an alt match but mech melee
This fight should be closer than the others.

Magmatron does not have a T-rex. He has an Gigantosaurus, Elasmosaurus and a Quetzalcoatlus.
I think that the TM upgrade puts Megs at least on par with Mags, if not above.

You're right Thanatos about the alt not being a T-Rex; the landsaur is much bigger, just the spelling is a little off. So GiganOtosaurus is just the biggest T-Rex looking Dino instead. Should be at least bigger than BW organic Megs. About the same size as his TM form? maybe.
The skysaurus is also misspelled; QueTZalcoatlus was the largest known Pterosaur. Should be at least bigger than BW organic Terrorsaur.
Similarly, the seasaur is the largest Lapras looking Dinosaur of the sea. It was however not misspelled.
For any of the organics in BW series to be able to harm TM Megs suggests Magmatron's capacity to do so as well.
Neither Megs nor Primal were the strongest of there kind at the start of the show. For Dinobot or even Rhinox to show prowess enough to harm, manhandle, or detour a TM of there caliber shows the gap is not nearly that wide.
If firepower isn't the deciding factor, Magmatron seems to have it in spades just like Megs. Maybe even more so.
