Major Motoko Kusanagi (Ghost in the Shell: Stand Alone Complex) vs Terry McGinnis as Batman (Batman Beyond)
Scenario 1: No guns, no batarangs, no Bruce, no other weapons, no stealth, no rocket boots, no hacking. Just pure hand to hand combat, Cyborg vs Batsuit.
Scenario 2: Stealth only paint ball fight. Who wins (arena is a jungle).
Scenario 3: All weapons/tech allowed that they usually have on them in the course of battle. No tachcoma/Batmobile/Bruce/Aramaki.
Scenario 4: Prep fight. Each is allowed one hour of prep. What happens? (no, Terry can't call on the Justice League for help. Just anyone in Gotham).

The Major is more sophisticated in terms of technology and warrior ability. Given time she may be able to hack the suit. McGuiness' only advantange is flight capability, which gives him long range manuevarability, but up close the major has him with her marksmanship. The Major also has "baffers" that make her look like someone different to anything conducting electronic survaillance (if she can plant them on the suit) besides her light-bending tech.
And she the munitions on her guns (get your mind out of the gutter) range from standard bullets to armour peircing, so she can clip and disable the suit or tear it to shreds from a distance.
In terms of actual power she can rend hardened armour when she has too (at the cost of some of her other capabilities) with her bare hands. I doubt McGuiness-in-batsuit can duplicate the feat.
And as a soldier she is capable of killing where McGuiness my hesistate.
Winner: Major.

Terry McGinnis sounds like an IRA terrorist in the 1970s/1980s. He wants to bomb several places in the UK, then get arrested and jailed, then do a dirty protest, then go on hunger strike and die a 'martyr'.
