The Fallen has superior tech so he'd win. However, Ultron wouldn't be his top priority. He wanted to drain all the energon out of the sun, didn't he? Ultron might try to stop him but The Fallen would hack Ultron and use him to suppress humanity, especially near the Star Harvester (Great Pyramid, near Cairo, Egypt),
