Is Bruce helping Terry?

Otherwise, I'm torn. Peter has the Spider Sense going for him, but Terry has better mobility. (Peter needs his webs to get anywhere, while Terry is essentially Bat/Iron-Man)

In the end, I'd have to say Terry would win, since he's more willing to fight dirty than Peter.

No outside help. They both must rely solely on their high tech suits and their own natural skills and abilities . They may also use all the features of their suits.

(This includes powers for Spider-Man and Weaponry and propulsion/glider systems for Terry)

The battle also takes place on neutral ground (a high tech city they've both never visited) so neither has home turf advantage.

Who wins Seibertron? Besides anyone who gets to watch the fight that is.

It would be a draw or Batman Beyond would win.

If it were Bruce in the suit I would say Batman wins but as it's Terry the win goes to Spider-Man.
I mean I really really hate that Spider-Man suite as it's too damn powerfull but Spider-Man has this weird weapon which destroys stuff with sonic waves plus he can fly with it.
As it stands Spider-Man wins this even if he won't fight dirty.
