Good question, I'd say:
G1 Marvel: Ultra Magnus
G1 Cartoon: Megatron (Magnus can't deal with that now)
DW G1: Probably Megatron if Brad Mick is writing
War Within: Ultra Magnus

With no weapons allowed, Magnus wins. He's bigger and stronger.
With weapons, I guess Megatron wins because he shoots very powerfully and accurately. Magnus still has a chance, though. He could conceal himself, wait for Megatron to come close and then seize his cannon before striking the final blow.
Having said that, Megatron can shrink into gun mode and hide from Magnus to ambush him. If he's ambitious, Megatron can lodge himself (in gun mode) inside Magnus and then expand to robot mode, bursting out of Magnus and thus killing him.
