id say magnus is on equal footing with prime, and neither have any significant physical advantage over the other. in the end id go with prime, a combination of skill (magnus is a great fighter, but optimus is optimus) and determination. prime has had the fate of the world on his shoulders enough to never let his resolve falter. magnus is gutsy, and all soldier, but when it comes to the point their both seriously damaged, i think magnus is more likely to accept that he cant win than prime is.

hmm.. this is kinda tuff to call
Magnus is the marry poppins of the autobot leaders...i.e. practically prime in every way and has niffty exo armour on top of all that.
Unless we are going with OP having (1)the matrix, and (2)the matrix actually giving him something "extra" that his credible combat clone doesn't have, I think Magnus has a pretty good chance.
G1 toon... OptiPrime has too much love; the story writters can't have anyone show him up... anyone. Though either one would barely be able to beat Grimlock, only one of them has proven to beat Rodimus. But can even OptiPrime beat Sixshot?
G1 UK comic... might lean toward UltraMag; he dogmaticly pursued and fought Galvatron, a mech that Prime has no hope of defeating in his standard frame. While he naturally lost (yet survived) a number of times gaining a fear of the spawn of unicron, he over came the fear and did what seemed impossible; he defeated Galvatron. It seems to me that the UK looks at Magnus as a credible substitue for Prime. he was Primes most practical choice to lead after him for a reason.
G1 DW comic... this seems to have a distinctive... Prime can only beat him if he is equiped with the matrix... feel to it. As the matrix does enhance him slightly in this continuity, and without it he has adverse effects on his system, a strict mech to mech match is hard to define. I don't think the ultra exo-armour can make up for a powerenhancing link to primus though.
G1 IDW comic... Prime isn't as unstoppable as he seems in other continuities, and doesn't seem to have matrix at present. Ultramagnus seems a credible match with his showing against Scorpinok. Given them actually knowing each other, I can see this going either way.

G1 toon: Prime was the only one to beat Rodimus, and took on the dinobots and even Grimlock realised Prime was stronger than he was.
Winner: Prime
G1 Uk Comic: Yes i agree closer, but it was never stated that Prime would ahve no chance against galvatron and the only time they faced was in Time wars were Prime was beating an insane galvatron, yes it was his powermaster form but there is nothing to suggest original prime would be much different. Remember Optimus is essentially the saviour of the autobots, frequently stated as the strongest and wisest and with eons of front line combat experience. Magnus is plagued by self doubt and 9 time out of 10 gets trashed by galvatron or even the terrorcons in Time wars.
Winner: Prime
DW: can't comment never read.
IDW: Can put up a decent fight against a highly overpowered Megatron while Magnus is given bounty hunter detail, after Swindle??? Prime also takes on Thunderwing...
Winner: Still Prime

Tech specs say Prime wins. However Magnus is considerably bigger, being a whole car transporter while Prime is just a cab. 45 tonnes beats 10 tonnes. Powermaster Prime would dominate Magnus, though.
Of course, these two would never fight unless there was mind control or something like that going on.
