In the cartoon, Grimlock could hold off the Terrorcons and Predacons at the same time, and he was also said to be invulnerable in Dinosaur mode or something like that.
Ultra Magnus is supposed to be a good soldier, I just don't think his fighting level's at where Grimlock's is said to be, plus...he got killed by Sweeps.

From far, UM is a bigger target, and in close combat, jaws and Energo-sword beats fists.

As for the topic, its a tough one.
Cartoon wise I would say Grimlock, if he can get in close.If Magnus is smart enough to stay out of reach its a different story.
Comics is harder to judge, Magnus seemed a little too reluctant to fight, and Grim too easy to provoke, both of those behaviors could lead to defeat.

i dont think he was reluctant to fight its who he had to fight that made him that way

and while they almost fought, they never really did.
Grimlock tripped 1 Predeicon [Headstrong] at one point, and later fired some flame breath at a group of a few Predidicons and Terrarcons.But thats not really fighting or holding them off.

G1 Cartoon: Let's be honest, Grimlock way too retarded te be a threat to UM
G1 Comic: No contest, Ultra Magnus was the only one to ever beat Galvatron, Grimlock got his ass kicked by Megatron.
G2 Comic: Sure, Ultra Magnus didn't appear here, but Grimlock is probably at his strongest here.
