Well, if it is Jetfire (as in your sig) rather than G1 cartoon's Skyfire, then Jetfire will win after a well-fought fight.
If it is Skyfire, though, Magnus would win hands-down.

Ultra Magnus, Jetfire couldn't even beat Cyclonus in Target 2006 while Magnus went up against Galvatron.
And similarly, IDW Magnus appears to be helluva powerful.

Ultra Magnus is considerably stronger. Jetfire would have to attack from the air. He would do so with tremendous speed and skill. M would have to work hard to shoot him down. If J can hit M with enough power, he could win.
It's possible that M has a shut-down code for J but then J is so intelligent that he would probably disable it.
M's missiles aren't good enough to shoot down the hypersonic J. M would have to use his laser and take his best shots. Also, he might be able to push J off-course by interfering with his radar and other senses. He might even be able to make J crash this way but J is probably too skilful to fall for it.
If M can find good cover, perhaps in a fortified building, mountainous area or underwater, he has more chance of winning. I'm not sure the M would have time to find cover, though. J is too quick.
In my opinion, J would win this with multiple, hypersonic attacks but he'd have to be careful. One good hit from Magnus would bring him down with a terrible, explosive crash. Magnus is one of the best Autobot warriors so the threat is very real indeed.
