Assuming that the Matrix makes them good and grants them an upgrade , how would certain bad guys be?

The Matrix doesn't "make them good". Well in the Marvel comics Thunderwing got the matrix and his evil started to corrupt it.

Starscream on the other hand, got hold of the matrix in the G2 comics and it started to turn him good.
He used the matrix to bond with the Warworld and attack Megatron and Prime who were within it at the time. Unconsiously he helped save them from himself and eventually gave the matix back to Prime because he didn't want to be good...

Wrong, the matrix was already corrupted before that point by the alien that was remade into the deathbringer.

I think it would actually make BW Rampage good.
I've seen a convincing argument that Rampage's evilness is the product of being severed from the Matrix (i.e. the afterlife) by his immortality. Connecting with the Matrix then might fill a void within him and make him sane/good.

Rampage wasn't 'Evil'. He was mentally disturbed, who had a terrible life and was abused for the sole purpose of prooving he was indistructible. He was then forced into service of the Predacons by torture. If he got the Matrix, I reckon it would have balanced his mind and given him peace. No longer would he be a pshycotic. For some reason I think he would be a gifted scientist, on the same level of Rhinox if not for his insanity.
(yes, I'm a big Rampage fan. Troubled souls like that always draw my sympathies.)
