Weapon: Electron-Scimitars
I'd say Grimlock, I only mainly know about the cartoon versions though, not the comics.
In the cartoon, Grimlock could hold off the Terrorcons and Predacons at the same time, and he was also said to be invulnerable in Dinosaur mode or something like that.
Ultra Magnus is supposed to be a good soldier, I just don't think his fighting level's at where Grimlock's is said to be, plus...he got killed by Sweeps.

Weapon: Particle Beam Cannon
Ultra Magnus, he might even be more powerful then Prime in the UK comics.

Weapon: Reciprocating Laser Cannon
Grimlock. Ultra Magnus is a good soldier, but Grimlock is more capable in combat.

From far, UM is a bigger target, and in close combat, jaws and Energo-sword beats fists.

i always thought that they would split the fights 50/50 grim is alittle stronger magnus alittle smarter with alittle more firepower but lock has tougher armor than magnus like i said any one could debate who would win but i think this fight just depends on who makes the first mistake and who can capitalize on it

Thats not exactly true.

Same as above.

As for the topic, its a tough one.

Cartoon wise I would say Grimlock, if he can get in close. If Magnus is smart enough to stay out of reach its a different story.

Comics is harder to judge, Magnus seemed a little too reluctant to fight, and Grim too easy to provoke, both of those behaviors could lead to defeat.

Well, 3 Predacons and two TerrorCons or something, the Dinosaur thing was from some line Megatron said, not sure of the episode though.

Maybe, either way it could lead to defeat.

Thats just it, it never really happened.

The closet episode is the season 3 "call of the primitives".
http://www.youtube.com/watch?v=4H2CT3jvA7I

and while they almost fought, they never really did.

Grimlock tripped 1 Predeicon [Headstrong] at one point, and later fired some flame breath at a group of a few Predidicons and Terrarcons. But thats not really fighting or holding them off.

That was what I was referring to, except I exaggerated a lot it seems. Probably listening too much to the bloated description from the wiki...which is odd since I've seen that episode...

Because he had a big ass hammer. Still wouldn't be enough against Grimlock, but it made him kind of cool.

I think that Ultra Magnus would win this in most continuities:

G1 Cartoon: Let's be honest, Grimlock way too retarded te be a threat to UM
G1 Comic: No contest, Ultra Magnus was the only one to ever beat Galvatron, Grimlock got his ass kicked by Megatron.
G2 Comic: Sure, Ultra Magnus didn't appear here, but Grimlock is probably at his strongest here.
Animated: No fight ever happend, but I'd give it to UM

UM is bigger and stronger so he wins. TBH, UM can win from a distance with accurate laser fire and shoulder missiles. UM needs to knock out G quickly or else G will wear him down.
