This is G1 Cartoon Optimus vs Suzaku from Code Geass. Fight takes place in Tokyo.

Suzaku is in his Lancelot Albion with the wings. Prime has his Ion blaster and Energon Axe.

who wins and why?

Prime is good but with Lancelot Albion’s better mobility, it all comes down to whoever lands the hit first, making this a toss-up.

Considering Prime was wounded by a thrown rock shard, a beam saber, and a pistol as shown with his battle with Megatron in the ‘86 movie, I doubt it.
