As much as I love Megatron, the sheer skill and power at Char's disposal (with the Sazabi), I'd have to say Char. Especially with the funnels and his Newtype abilities.

Char Aznable, the Sazabi’s funnels can quickly disarm Megatron’s weaponry before he could fire them.

I know nothing about Char Aznable. Maybe he can win the fight with brute force. However, Megatron has superb nanobot capabilities that would hijack or disable Char's Sazabi craft.
