Interesting question, at first Fort Max was a normal-sized autobot, then he got upgraded to a bigger size, with Cerebros as the middle-headmaster. I think Magnus has a chance against the early version.

Ultra Magnus, Magnus beat Galvatron whereas Fort Max got his ass handed to him by Megatron.

Megatron was dangerous sometimes - he took down Predaking single handedly- and Fort Max also beat Galvatron, at the end of Marvel G1 (although after that, he was beaten by an awakened Megatron and eventually killed in G2).

Galvatron faced Fort Max after unicron puched him straight through Cybertron.
Oh, and he also took tons of damage after the Ark got crashed (again), Fort Max was in a less damaged part of the ship at the time.

Maximus wins. However, he would be so disgusted by his actions that he might kill himself! He is a big pacifist, despite his massive destructive power.

This fight is highly unlikely to take place. The City Commander (Magnus) loves his cities.
