Interesting match-up, both of them has a very sharp mind in their own profession, and have a wide array of gadgets/weapons - they are like the opposing sides of a coin.

Still, Batman was defeated by sharp-minded villains before, so I give this to Boba.

Batman. For sure. Far more intelligent than Boba Fett.

Boba Fett is just a bounty hunter for hire for the most part. Batman is a calculating bad ass on a mission.

Plus the fact that Batman has figured out methods for how to defeat Superman, the Green Lantern, Wonder Woman...

Batman could defeat Boba by sneaking up and spraying him with shark repellent. Then, Boba would fall into the nearest convenient Sarlacc pit and die again.
